End-User Service Agreement & Recurring Card Payment Authorization –

This End-User Service Agreement (“EUSA”) is a legal agreement between (a) licensee (“End-User”, “Customer”, “You” or “Your” as defined in the service order linked to this agreement) and (b) WINDROOT CORP, an Illinois based corporation whose address is 1501 E Woodfield Rd Suite 103E, Schaumburg, IL 60173 (“Windroot Corporation”, "Windroot", “Service Provider”, “We,” or “Our”).

By signing this agreement, you agree to the understanding shown below and agree to be bound by the terms of EUSA.

Capacity and Authority to Contract

CUSTOMER represents that you are of legal age of majority in your state of residence and, if applicable you are duly authorized to enter into this contract.

Description of Services

SERVICE PROVIDER is a Certified Public Accountant Firm which offers sale and support for various major accounting products and software services (SaaS) which also include:

  • Accounting Services
  • Payroll processing
  • Bookkeeping services
  • Tax Preparation
  • Business Consulting Services
  • Cloud services for Accounting Solutions

Term

This EUSA is effective unless terminated and is valid for the period of the term as defined in the service order linked to this agreement

Payment

Payment shall be made to Windroot Corporation (1501 E Woodfield Rd. Suite 103E, Schaumberg, IL – 60173, USA). The charge on the CUSTOMER statement will appear as Windroot Corp.

Independent Service Provider

SERVICE PROVIDER is an independent service provider company and is not affiliated or endorsed by any company whose products we serve. All brands, images, trademarks, products, and services of companies mentioned belong to the individual companies.  

Limited Liability

The parties understand and agree that SERVICE PROVIDER and its employees, subcontractors, and its agents assume no liability or responsibility for the cost of repairing or replacing any equipment, software, or personal property, including intellectual property lost or damaged, either current or arising in the future, or any consequential damage of any nature incurred as a result of the services rendered to the CUSTOMER.

Right to refuse, suspend or terminate service

SERVICE PROVIDER reserves the right to refuse, suspend, or terminate service to any user for any reasons related to the improper or illegal use of services or products. In the event of such refusal or termination, a refund for the time remaining will be made on pro-rata basis and will be credited to the CUSTOMER account within 72 hours of termination.

Transfer

This agreement is non-transferrable without the prior agreement of SERVICE PROVIDER. The new end-user receiving the transferred agreement must agree to all EUSA terms.

Privacy Policy

The Windroot Corp (1501 E Woodfield Rd Suite 103E, Schaumberg, IL – 60173, USA) Privacy Policy which is an integral part of these Terms and Conditions is incorporated here by reference (https://windrootcorp.com/privacy-policy/). If you have not yet reviewed by the Privacy Policy, then please do so prior to agreeing to these Terms and Conditions. You agree that beyond the Personal Information identified in the Privacy Policy, any information or data disclosed or sent to Windroot Corporation over telephone, electronically or otherwise, is not confidential or proprietary to you. The data shared with us will be 100% safe and secure. Once the job is complete your data will be deleted from our server and we will not be able to provide a copy of it in future.

Refund Policy

The Windroot Corp (1501 E Woodfield Rd Suite 103E, Schaumberg, IL – 60173, USA) Refund Policy which is an integral part of these Terms and Conditions is incorporated here by reference (https://windrootcorp.com/refund-policy/). If you have not yet reviewed by the Refund Policy, then please do so prior to agreeing to these Terms and Conditions.

For any service plans, a full refund will be issued if SERVICE PROVIDER has not been able to resolve issues with the subscribed services as defined in the service order linked to this agreement. For term service plan if there are one or more issues resolved within first 15 (fifteen) days, the fees as per the count of Incidents and Setup Fee will be charged. For Subscription Plans (Monthly, Annual or other Unlimited Service Plan time periods), refund requests will be honored within the first 15 days of the subscription. Post 15 days, if Windroot has successfully resolved one or more cases, the Subscription Plan fees for that period may not be fully refundable. For Single-Incident Plans, Unused Single-Incident Plans must be used within 30 days of purchase. No refunds will be issued for unused Single-Incident Plans after 30 days. A used Single-Incident Plan is eligible for refund if the issue/incident cannot be resolved by our technicians. In this case, refund requests must be made within 7 days of the last interaction with a technician. If a refund request is not received within 7 days, the Single-Incident Plan will not be honored for a future issue/incident. We reserve the right to refuse refunds of any service or products that does not meet the above refund conditions in our sole discretion.

Entire Agreement

The EUSA is the entire agreement between the CUSTOMER and SERVICE PROVIDER and it supersedes all prior, oral, or written communications, proposals, and representations with respect to service provided by this EUSA.

Recurring Card Payment Authorization

 

You authorize Windroot Corporation to make regularly scheduled charges to card details provided at https://windrootcorp.com/ for the amount (in USD) for each billing period as mentioned in the service order mentioned below. A receipt for each payment will be provided to you and the charge will appear on your credit card statement. You agree that no prior-notification will be provided unless the date or amount changes, in which case you will receive notice from us at least 10 days prior to the payment being collected.

I understand that this authorization will remain in effect until I cancel it in writing, and I agree to notify the business in writing of any changes in my account information or termination of this authorization at least 15 days prior to the next billing date. This payment authorization is for the type of bill indicated above. I certify that I am an authorized user of this credit card and that I will not dispute the scheduled payments with my credit card company provided the transactions correspond to the terms indicated in this authorization form.
